1. Orders and Acceptance

• All orders are subject to written acceptance by Public Works Products.

• We reserve the right to reject any order, in whole or in part, for any reason.

• Once accepted, orders cannot be canceled or modified without our written consent.

2. Prices and Payment

• All prices are in U.S. Dollars unless stated otherwise.

• Quoted prices are valid for 30 days unless noted.

• Payment terms are net 30 days from invoice date unless otherwise agreed in writing.

• Late payments may incur a 1.5% monthly interest fee or the highest amount permitted by law.

3. Taxes

• All applicable sales, use, excise, or other taxes are the responsibility of the Buyer.

• If the Buyer is tax-exempt, a valid exemption certificate must be provided prior to sale.

4. Shipping and Delivery

• Freight terms are FOB Shipping Point (Dallas, TX), unless otherwise stated.

• Risk of loss passes to the Buyer upon shipment.

• Shipping dates are estimates and not guaranteed. Delays do not entitle Buyer to cancel orders or claim damages.

5. Returns

• Returns must be authorized in writing by Public Works Products within 30 days of delivery.

• A restocking fee (typically 15–25%) may apply.

• Returned goods must be unused, in original packaging, and in saleable condition.

• Custom or special-order items are non-returnable.

6. Limited Warranty

• Products sold by Public Works Products are warranted to be free from defects in materials and workmanship under normal use for a period defined by the manufacturer.

• This warranty excludes damage due to misuse, improper installation, alteration, or natural wear.

• Public Works Products shall, at its option, repair, replace, or refund the defective item.

• This is the exclusive warranty and replaces all other express or implied warranties.

7. Limitation of Liability

• Public Works Products shall not be liable for indirect, incidental, special, or consequential damages, including lost profits or downtime.

• Our maximum liability is limited to the purchase price of the product in question.

8. Force Majeure

We are not responsible for delays or failures caused by circumstances beyond our control, including but not limited to natural disasters, labor disputes, supply chain interruptions, or acts of government.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

10. Entire Agreement

These Terms and Conditions of Sale, together with any sales invoice or written agreement, constitute the entire agreement between Buyer and Public Works Products and supersede all prior oral or written negotiations.
